Draft — not yet reviewed by an attorney. This page was prepared quickly to get something live and covers the obligations this kind of platform typically needs (POPIA, the Consumer Protection Act, ticketing and payments). It still contains bracketed [placeholders] for facts only Konviva can confirm — registered entity details, a physical address, and an Information Officer. Have a South African attorney check it, fill in the placeholders, and remove this notice before relying on it as final.
These Terms of Service (“Terms”) govern access to and use of konviva.africa, the Konviva mobile applications, the Konviva WhatsApp number, and every related feature (together, the “Platform”), operated by [Konviva’s registered legal entity name — e.g. Ludere Group (Pty) Ltd, trading as Konviva — confirm] (“Konviva”, “we”, “us”), a company registered in the Republic of South Africa (registration number [confirm registration number]).
By creating an account, browsing an event page, buying a ticket, or hosting an event through the Platform, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, please do not use the Platform.
If you use the Platform on behalf of a business (for example, as a Host or Vendor), you confirm that you have the authority to bind that business to these Terms, and “you” refers to that business as well as you personally.
Konviva provides tools for planning an event (including AI-assisted planning suggestions), discovering and booking third-party Vendors, publishing an event page, and selling and managing Tickets and payments for it.
Konviva is a platform that facilitates ticketing and event planning — we are not the organiser, promoter, or operator of any Event listed on the Platform, and we are not a party to the contract between a Host and a Vendor. Each Event is run entirely by its Host, who is solely responsible for the Event’s content, safety, legality, staffing, venue, permits, and delivery. Where we refer a Vendor or generate a planning suggestion, that is provided as a convenience and does not make us a party to any resulting booking, nor a guarantor of the Vendor’s work.
You must be at least 18 years old, or using the Platform under the supervision of a parent or legal guardian who accepts these Terms on your behalf, to create an account or buy a Ticket.
You are responsible for the accuracy of the information on your account and for keeping your login credentials confidential. You must tell us promptly at hello@konviva.africa if you suspect unauthorised use of your account. We may suspend or close an account that provides false information, breaches these Terms, or is used fraudulently.
As a Host, you are solely responsible for: the accuracy and legality of your Event listing; obtaining any permits, licences, insurance, or approvals your Event requires; the safety and conduct of your Event; complying with all applicable law, including consumer protection, health and safety, liquor licensing, copyright (for music or performers), and tax obligations (including VAT registration and SARS reporting, where applicable to you); and honouring the Tickets, prices, and terms you publish.
Konviva acts as your payment collection agent for Ticket sales: we collect payment from Attendees on your behalf, deduct our service fee and any applicable payment-processing fee (both disclosed to you before you publish pricing, and to the Attendee at checkout), and pay out the balance to your nominated bank account on the payout schedule described in your Host dashboard.
You may not use the Platform to sell Tickets to an Event that is illegal, fraudulent, defamatory, discriminatory, or that infringes a third party’s rights. We may remove an Event listing, withhold a payout, or suspend a Host account where we reasonably believe this clause has been breached, or where we are required to do so by a payment processor, bank, or law enforcement request.
When you buy a Ticket, you enter into a contract directly with the Host for admission to that Event — Konviva is not the seller of the Ticket, only the platform through which the sale is made and processed. The price, refund terms, entry requirements (age restrictions, dress code, ID at the door, and similar), and any other condition of admission are set by the Host and shown on the Event page before you pay.
Prices are in South African Rand (ZAR) and include any Konviva service fee shown at checkout, unless stated otherwise. Your Ticket is a limited, non-transferable licence to attend the specific Event and time stated, unless the Host enables resale or transfer for that Event.
Tickets to a scheduled event with a fixed date and time are, under the Consumer Protection Act 68 of 2008 and its regulations, generally not subject to the standard 7-day cooling-off period that applies to ordinary online purchases. Refunds are therefore governed by the specific refund policy the Host publishes on the Event page, except as set out below.
You are entitled to a full refund where:
Outside of those cases, refunds are at the Host’s discretion, per the policy on the Event page. Where a Host approves a refund, or where a refund is due under this clause, it is paid back to your original payment method, subject to the payment processor’s own timelines. If you believe you are owed a refund a Host has refused, you can raise a dispute through the Platform and we will review it against this clause.
Payments are processed by third-party, PCI-DSS-compliant payment service providers (currently [confirm active provider(s) — e.g. Ozow and/or Paystack]). Konviva never stores your full card number or bank login details — these are handled entirely by the payment processor on its own secure, hosted payment page.
You authorise us (or our payment processor) to charge your chosen payment method for the full amount shown at checkout, including the ticket price, any booking or service fee, and any payment-processing fee disclosed before you pay.
Where the Platform lists, recommends, or connects you with a Vendor, that listing may include ratings or reviews submitted by other users. We do not vet, employ, or guarantee the work of any Vendor, and any agreement you reach with a Vendor is between you and that Vendor alone.
AI-generated planning suggestions (budgets, timelines, supplier matches, and similar) are provided to help you plan faster. They are suggestions only, may be inaccurate or incomplete, and are not professional, legal, financial, safety, or engineering advice. You remain responsible for verifying anything you rely on before acting on it.
WhatsApp assistant. The Konviva WhatsApp number is answered by an automated assistant that uses AI to reply from information published by Konviva and by the Event’s Host. Its answers are a convenience and may be incomplete or wrong. Where an answer differs from the Event page or the Host’s published terms, the Event page and the Host’s terms apply. The assistant cannot make or change bookings, take payments, or process refunds or ticket transfers; those requests go to support@konviva.africa. You can ask for a person at any time.
We only send you WhatsApp messages in reply to a message from you, or where you have opted in to event updates. Reply STOP to stop them. Your mobile network’s normal data charges apply. Please don’t send ID numbers, banking details or passwords by WhatsApp. How we handle WhatsApp messages is set out in our Privacy Policy.
You agree not to:
The Platform, its design, software, and the Konviva name and logo are owned by Konviva or our licensors and are protected by South African and international intellectual property law. You may not copy, modify, or distribute any part of the Platform without our written permission.
You keep ownership of Content you submit (event descriptions, images, reviews), but you grant Konviva a non-exclusive, royalty-free, worldwide licence to host, display, reproduce, and distribute that Content for the purpose of operating and promoting the Platform and the Event it relates to.
The Platform is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, about the Platform’s availability, accuracy, or fitness for a particular purpose. We do not guarantee that any Event will proceed as advertised, or that any Vendor, AI suggestion or WhatsApp assistant answer will meet your expectations — those are matters between you, the Host, and the Vendor.
Nothing in these Terms limits liability that cannot lawfully be limited, including liability for gross negligence, fraud, or death or personal injury caused by our negligence.
Subject to that, to the maximum extent permitted by law, Konviva’s total liability to you arising from or related to the Platform is limited to the Konviva service fees you paid in the 12 months before the claim arose, and we are not liable for indirect, incidental, or consequential loss (including lost profit or lost opportunity), or for the acts or omissions of a Host, Attendee, or Vendor.
You agree to indemnify and hold Konviva harmless against any claim, loss, or expense (including reasonable legal costs) arising from your breach of these Terms, your Event, or your use of the Platform, except to the extent caused by our own breach or negligence.
You may close your account at any time by contacting us. We may suspend or terminate access to the Platform, with notice where reasonably possible, if you breach these Terms, if required by law or a payment processor, or to protect the Platform or other users. Clauses that by their nature should survive termination (including Sections 11, 13, 14, 17) will survive.
These Terms are governed by the law of the Republic of South Africa. Any dispute that cannot be resolved informally by contacting us first is subject to the exclusive jurisdiction of the South African courts, without prejudice to any right you have to approach the National Consumer Commission or the Information Regulator.
We may update these Terms from time to time. Where a change is material, we will give reasonable notice (for example, by email or an in-app notice) before it takes effect. Continuing to use the Platform after a change takes effect means you accept the updated Terms.
Questions about these Terms can be sent to hello@konviva.africa or [registered physical/postal address — confirm].
